UpMatch Terms of Service

1. Acceptance of Terms

By accessing or using UpMatch (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all the Terms, you may not access or use the Service.

2. Service Description

UpMatch provides a software platform designed to assist freelancers in submitting proposals and personalizing client outreach more efficiently. UpMatch is not affiliated with, endorsed by, or partnered with Upwork, Inc., or any other freelance marketplace.

3. User Responsibilities

You agree to:

Use the Service in compliance with all applicable laws and third-party platform rules (including Upwork's Terms of Service).

Maintain full responsibility for your freelance accounts, credentials, and activities.

Only use the Service in ways that do not violate any third-party rights or platform policies.

Voluntarily provide any account information or credentials at your own risk.

You understand that sharing credentials with any third-party services, including UpMatch, may be prohibited by certain platforms and could result in account restrictions or termination.

4. No Guarantee of Outcomes

UpMatch makes no guarantee that use of the Service will result in job offers, contract awards, income, or any specific results. Outcomes depend on many factors beyond UpMatch's control.

5. Account Security and Access

You are solely responsible for:

Maintaining the confidentiality of your account credentials.

Ensuring proper security measures are taken when accessing the Service.

UpMatch disclaims all liability arising from any unauthorized access to your accounts.

6. Payments and Subscriptions

Use of UpMatch requires an active subscription. You agree to pay all applicable fees as outlined during signup. All payments are non-refundable except where required by law.

7. Termination

UpMatch reserves the right to terminate or suspend access to the Service immediately, without notice, for any breach of these Terms.

8. Indemnity

You agree to indemnify, defend, and hold harmless UpMatch, its directors, officers, employees, agents, and affiliates, from and against any and all claims, liabilities, damages, losses, or expenses (including legal fees) arising out of your use of the Service or violation of these Terms.

9. Limitation of Liability

To the fullest extent permitted by law, UpMatch and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

In no event shall UpMatch's total liability exceed the amount you paid for the Service in the twelve (12) months preceding the event giving rise to the claim.

10. Modifications to Terms

UpMatch reserves the right to modify these Terms at any time. Changes will be posted on this page, and continued use of the Service constitutes acceptance of the modified Terms.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
